Please read these Terms of Service carefully before submitting an application to join the Symbiotic.IO Expert Network or using any part of the platform. By submitting an application or accessing the platform in an authenticated capacity, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not submit an application or use the platform.

1. About Symbiotic.IO

1.1 Symbiotic.IO is an expert search platform operated by Growth Mode Limited ("we", "us", "our"). The platform connects B2B organisations ("Buyers") with independent go-to-market experts and specialists ("Experts") who have been accepted into the network.

1.2 Growth Mode Limited acts solely as a facilitator of introductions between Buyers and Experts. We are not a party to any engagement, contract, or commercial arrangement entered into between a Buyer and an Expert. Any such arrangement is a matter solely between the Buyer and the Expert.

1.3 Nothing in these Terms creates an employment relationship, agency relationship, partnership, or joint venture between Growth Mode Limited and any Expert.

2. Acceptance of These Terms

2.1 By submitting an application to join the Expert Network, you enter into a binding agreement with Growth Mode Limited on the terms set out here.

2.2 If you were onboarded to the platform before these Terms were introduced, you will be required to accept them the next time you log in. You will not be able to access your profile or use the platform until you have done so.

2.3 Your acceptance is recorded with a timestamp and associated with your account. This record is permanent.

2.4 These Terms apply to your use of the platform in its entirety, including your profile, your receipt of leads, and any communications sent through the platform.

3. Eligibility

3.1 To apply to join the Expert Network, you must:

• be an individual operating as a self-employed expert, or a director or employee of a consultancy business, with the authority to bind that business to these Terms;
• have genuine and demonstrable experience in B2B go-to-market strategy, sales, marketing, revenue operations, or a related specialism;
• be at least 18 years of age;
• not be subject to any legal, regulatory, or professional restriction that would prevent you from providing consultancy services.

3.2 We reserve the right to verify the information you provide during the application process and at any point during your membership of the network. We may request supporting evidence of your experience, qualifications, or professional standing.

3.3 Acceptance to the network is at our sole discretion. Submitting an application does not guarantee acceptance.

4. Your Profile and Information

4.1 You are responsible for ensuring that all information provided in your application and on your profile is accurate, complete, and not misleading.

4.2 You must keep your profile up to date. If your professional circumstances, areas of specialism, or availability change materially, you must update your profile promptly.

4.3 You must not include in your profile any information that:

• is false, inaccurate, or misleading;
• infringes the intellectual property rights of any third party;
• is defamatory, offensive, or otherwise unlawful;
• discloses confidential information belonging to a former or current client without their consent.

4.4 By submitting your profile information, you grant Growth Mode Limited a non-exclusive, royalty-free licence to display that information on the Symbiotic.IO platform for the purpose of facilitating introductions with Buyers. This licence continues for as long as your profile is active on the platform and terminates when your profile is removed or deactivated.

4.5 You retain ownership of all intellectual property in the content you provide. We do not claim any ownership over your profile content.

5. Platform Usage and Professional Conduct

5.1 You agree to use the platform in a professional manner at all times and in accordance with these Terms.

5.2 You must not use the platform to:

• misrepresent your identity, qualifications, or experience;
• contact Buyers or other Experts outside of the platform in a manner that circumvents the platform's introduction process, except where an introduction has already been made through the platform;
• engage in any conduct that is unlawful, fraudulent, or harmful to the reputation of Growth Mode Limited or the Symbiotic.IO platform;
• transmit unsolicited communications, spam, or promotional material;
• attempt to access any part of the platform for which you do not have authorisation.

5.3 When you receive a lead through the platform, you are responsible for responding to it in a timely and professional manner. Accepting a lead constitutes a commitment to engage with the Buyer in good faith.

5.4 You must not accept a lead if you have a conflict of interest or are unable to provide the services described.

6. Confidentiality

6.1 In the course of using the platform, you may receive information about Buyers, their organisations, and their commercial requirements. You must treat all such information as confidential and must not disclose it to any third party without the Buyer's prior written consent, except as required by law.

6.2 This obligation of confidentiality survives the termination of your membership of the Expert Network.

7. Data Protection

7.1 Growth Mode Limited processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

7.2 By accepting these Terms, you acknowledge that we will process your personal data for the purposes of operating the platform, facilitating introductions, and communicating with you about your membership. Full details of how we process personal data are set out in our Privacy Policy, which forms part of these Terms.

7.3 You have the right to access, correct, or request deletion of your personal data at any time by contacting us at the address set out at the top of these Terms.

7.4 Where you receive personal data about a Buyer through the platform, you are an independent data controller in respect of that data and are responsible for ensuring your own compliance with applicable data protection law.

8. Intellectual Property

8.1 All intellectual property rights in the Symbiotic.IO platform, including its design, software, content, and branding, are owned by or licensed to Growth Mode Limited. Nothing in these Terms grants you any rights in or to the platform beyond the limited licence to use it in accordance with these Terms.

8.2 The "Symbiotic.IO" name and associated branding are the property of Growth Mode Limited. You must not use them without our prior written consent.

9. Limitation of Liability

9.1 The Symbiotic.IO platform is provided on an "as is" basis. We do not warrant that the platform will be uninterrupted, error-free, or free from viruses or other harmful components.

9.2 Growth Mode Limited acts solely as a facilitator of introductions between Buyers and Experts. We have no liability whatsoever in respect of the services provided by any Expert, the conduct of any Buyer or Expert, or the outcome of any engagement or commercial arrangement entered into between a Buyer and an Expert following an introduction facilitated through the platform. Any issues arising from such an engagement are a matter solely between the Buyer and the Expert.

9.3 To the fullest extent permitted by law, Growth Mode Limited shall not be liable for any loss of profit, loss of business, loss of revenue, loss of data, loss of anticipated savings, loss of goodwill, or any indirect, special, incidental, or consequential loss or damage of any kind, whether arising in contract, tort (including negligence), or otherwise, even if advised of the possibility of such loss.

9.4 Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by English law.

10. Suspension and Termination

10.1 You may terminate your membership of the Expert Network at any time by contacting us and requesting that your profile be removed.

10.2 We may suspend or terminate your access to the platform at any time, with or without notice, if:

• we reasonably believe you have breached these Terms;
• your conduct is, in our reasonable opinion, harmful to the reputation of the platform or to other users;
• we decide to discontinue the platform or any part of it;
• we are required to do so by law or regulation.

10.3 On termination, your profile will be deactivated and you will no longer be able to receive leads through the platform. Any obligations that by their nature survive termination (including confidentiality and data protection obligations) will continue to apply.

11. Changes to These Terms

11.1 We may update these Terms from time to time. If we make a material change, we will notify you by email and/or by displaying a notice on the platform.

11.2 If a material change is made, you will be required to accept the updated Terms before you can continue to use the platform. Continued use of the platform after notification of a non-material change constitutes acceptance of the updated Terms.

11.3 The date at the top of this document indicates when these Terms were last updated.

12. General

12.1 These Terms constitute the entire agreement between you and Growth Mode Limited in relation to your membership of the Expert Network and supersede all prior agreements and understandings.

12.2 If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

12.3 Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

12.4 These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
